THIS IS A LEGAL AGREEMENT BETWEEN YOU OR THE ENTITY YOU REPRESENT (“YOU”, “YOUR”, “CUSTOMER”) AND INTEGRATED INFORMATION SOLUTIONS LLP, OPERATING UNDER THE BRAND NAME BIZIONIX (“BIZIONIX”, “WE”, “US”, “OUR”). BY ACCESSING OR USING ANY BIZIONIX PRODUCT, PLATFORM, WEBSITE, SOFTWARE, OR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE (“TERMS”). IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY STOP USING OUR SERVICES.

IF YOU ARE NOT BASED IN INDIA, SEPARATE GLOBAL TERMS OF SERVICE WILL APPLY.

1. DEFINITIONS

For the purposes of this Agreement:

  • • “Account” means the primary account used to access the Services.
  • • “Administrator” means the user appointed to manage a Customer’s organizational account.
  • • “Affiliate” means any entity controlling, controlled by, or under common control with Integrated Information Solutions LLP.
  • • “Applicable Law” includes all Indian laws such as the IT Act 2000, IT Rules 2021, DPDP Act 2023, and any state or national laws governing your use of the Services.
  • • “Beta Services” means pre-release, experimental, or test services made available at Bizionix’s discretion.
  • • “Content” means all data, files, text, images, media, or material uploaded or transmitted by the Customer.
  • • “Customer Data” means content created, stored, processed, or transmitted by the Customer through the Services.
  • • “Services” means all SaaS, cloud-based, mobile, web, and related services provided by Bizionix.
  • • “Third-Party Applications” means applications, tools, add-ons, or websites integrated with the Services.
  • • “User” means any individual authorized by the Customer to use the Services.
2. ACCEPTANCE OF THE AGREEMENT

By accessing or using the Services, you acknowledge and agree that:

  1. You have read and understood the Terms.
  2. You are legally capable of entering into a binding agreement.
  3. If using the Services on behalf of an organization, you have the authority to bind that organization.
  4. Your continued use of the Services constitutes acceptance of any updated terms.

If you do not accept these Terms, you must not use the Services.

3. DESCRIPTION OF SERVICE

Bizionix provides:

  • • Cloud-based business management tools
  • • Productivity applications
  • • CRM, ERP, analytics, automation tools
  • • Mobile and web applications
  • • APIs and integration capabilities

You are responsible for:

  • • Internet access
  • • Hardware devices
  • • Compliance with all technical requirements
  • • Ensuring your use complies with applicable laws

You may create, store, publish, transmit, and share content using the platform as permitted by these Terms.

4. BETA SERVICES

Bizionix may offer Beta Services for evaluation. You understand and agree that:

  • • Beta Services may contain bugs, errors, or defects.
  • • Bizionix may modify or discontinue Beta Services at any time without notice.
  • • Beta Services are provided “AS IS” without warranties.
  • • Bizionix is not liable for any damage arising from the use of Beta Services.
  • • Customer Data entered into Beta Services may not be exportable or recoverable.
5. FREE TRIALS

A free trial may be offered at Bizionix’s discretion. During the trial:

  • • Services are provided without warranties.
  • • Features may be limited.
  • • Data may not be retained unless a paid plan is activated before trial expiry.
  • • Bizionix may terminate the trial at any time.
6. USER SIGN-UP OBLIGATIONS

You agree to:

  • • Provide accurate, complete, and updated information.
  • • Keep login credentials confidential.
  • • Ensure your organization’s users comply with these Terms.
  • • Notify Bizionix of any unauthorized access.

Failure to provide accurate information may result in account termination.

7. RESTRICTIONS ON USE

You shall NOT:

  • • Transfer or resell the Services.
  • • Provide competing services built upon Bizionix without authorization.
  • • Share user licenses beyond permitted use.
  • • Reverse engineer, decompile, or extract source code.
  • • Access Services illegally or via unauthorized methods.
  • • Upload or transmit malware, bots, worms, ransomware, or harmful scripts.
  • • Publish content violating privacy, IP rights, or applicable laws.
  • • Attempt to bypass security, authentication, or account restrictions.
  • • Use the Services for illegal, malicious, fraudulent, or harmful activities.
  • • Misrepresent your identity or impersonate another person.
  • • Host or share content harmful to India’s sovereignty, national security, or public order.
  • • Use the Services to transmit misinformation, harassment, scams, or unlawful financial gains.
  • • Engage in any activity prohibited under Indian law.

Bizionix reserves the right to investigate violations and take action, including terminating accounts or reporting to authorities.

8. SPAMMING AND ILLEGAL ACTIVITIES

You shall not use the Services to:

  • • Send spam, junk mail, chain letters, phishing attempts
  • • Transmit obscene, offensive, defamatory, hateful, racist, pornographic, or harmful content
  • • Harm minors or violate child protection laws
  • • Upload pirated or illegally obtained media
  • • Infringe intellectual property rights
  • • Commit fraud, impersonation, identity theft, or cybercrimes

Bizionix may immediately disable or terminate accounts involved in such activities.

9. THIRD-PARTY APPLICATIONS

The Services may integrate with external applications. You acknowledge that:

  • • Third-party terms and privacy policies apply.
  • • Bizionix is not liable for issues caused by external applications.
  • • Integrations may be modified, restricted, or removed without notice.
  • • Bizionix is not responsible for data shared with third-party applications.
10. FEES AND PAYMENTS
  • • Subscription fees apply as per the chosen plan.
  • • Automatic renewal occurs unless cancelled before the renewal date.
  • • Payment is charged to the last-used payment method.
  • • Prices may change with prior notice.
  • • Taxes such as GST may be applicable.
  • • No refunds unless explicitly stated in Bizionix’s Refund Policy.
11. ORGANIZATION ACCOUNTS AND ADMINISTRATORS

Organizations may assign administrators who:

  • • Control user access
  • • Configure security, policies, and settings
  • • Manage billing and permissions
  • • Are fully responsible for all account activity

Bizionix is not responsible for internal administration or disputes.

12. PERSONAL INFORMATION & PRIVACY
  • • Your data is handled according to the Bizionix Privacy Policy.
  • • You must safeguard passwords and access tokens.
  • • Bizionix may access your data only for support, security, or legal compliance.
13. COMMUNICATIONS FROM BIZIONIX

You may receive:

  • • Service announcements
  • • System notifications
  • • Security alerts
  • • Newsletters (opt-out available)

You cannot opt out of essential service communications.

14. COMPLAINTS
  • • Complaints received regarding your activities may be forwarded to you.
  • • You must respond within 10 days.
  • • Failure to respond may result in disclosure of your contact details to the complainant as allowed by law.
15. GRIEVANCE REDRESSAL

As required under IT Rules 2021, our Grievance Officer can be contacted at:

16. INACTIVE USER ACCOUNTS

Unpaid accounts inactive for 120 days may be terminated, with all associated data deleted after notice.

17. HOSTING LOCATION
  • • Hosting is assigned based on your IP/location at the time of signup.
  • • You must not mask your IP to misrepresent your region.
  • • Bizionix may migrate your data to comply with storage policies.
  • • Local data copies may be stored as required by law.
18. DATA OWNERSHIP

You own all Customer Data. Bizionix will:

  • • Not claim ownership over your data
  • • Only process data to provide services
  • • Not use your data for advertising or commercial gain
  • • Protect your data as per industry standards
19. USER-GENERATED CONTENT

You are solely responsible for:

  • • Accuracy of content
  • • Ensuring content does not violate laws
  • • Obtaining required rights or licenses
  • • Managing permissions for publicly shared content

Bizionix may block or remove illegal content upon receiving valid complaints.

20. SAMPLE FILES & DEMONSTRATION CONTENT

Sample content provided by Bizionix is for demonstration only and contains no real data. Bizionix offers no warranties for accuracy or suitability.

21. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. BIZIONIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • • Merchantability
  • • Fitness for a particular purpose
  • • Non-infringement
  • • Accuracy or completeness
  • • Uninterrupted or error-free service

You use the Services at your own risk.

22. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • • Bizionix’s total liability will not exceed ₹50,000 or the amount paid by you in the past 12 months, whichever is higher.
  • • Bizionix is not liable for indirect, punitive, incidental, or consequential damages.
23. INDEMNIFICATION

You agree to indemnify Bizionix, its affiliates, employees, and partners against all claims arising from:

  • • Violation of these Terms
  • • Illegal content or activities
  • • Misuse of the Services
  • • Infringement of third-party rights
  • • Breach of applicable laws
24. GOVERNING LAW & JURISDICTION

This Agreement is governed solely by the laws of India.

All disputes shall be settled exclusively in the courts of Hyderabad, Telangana.

25. SUSPENSION & TERMINATION

Bizionix may suspend or terminate your account for:

  • • Violations of these Terms
  • • Legal demands from authorities
  • • Security threats
  • • Prolonged inactivity
  • • Non-payment
  • • Misuse or abuse of Services

Termination results in:

  • • Loss of access
  • • Deletion of account and data
  • • Revocation of all licenses
26. MODIFICATION OF TERMS OF SERVICE

Bizionix may update these Terms with notice. If changes materially affect your rights, you may terminate your subscription within 30 days and receive a prorated refund.

Continued use of the Services constitutes acceptance of updated Terms.

This Refund & Cancellation Policy outlines the terms under which customers may request cancellations, refunds, credits, or adjustments for purchases made for Bizionix software, cloud services, subscriptions, and paid add-ons (“Services”).

1. GENERAL CONDITIONS
  1. This Policy applies to all purchases made directly through Bizionix websites, authorized channels, or subscription platforms.
  2. Refunds, cancellations, or credits are governed by the nature of the purchased plan (monthly, annual, enterprise, or custom contracts).
  3. Bizionix reserves the right to modify this policy at any time; updates will be published on our website.
2. SUBSCRIPTION CANCELLATIONS
2.1 Monthly Subscriptions
  • • You may cancel your monthly subscription at any time.
  • • Cancellation prevents future billing but does not qualify for a refund of the current billing cycle.
  • • Access to Services continues until the end of the paid period.
2.2 Annual or Multi-Year Subscriptions
  • • Annual plans are discounted and therefore non-refundable, except in cases outlined under Section 5 (Eligibility for Refund).
  • • You may cancel auto-renewal at any time; your plan will remain active until expiration.
2.3 Free Trials
  • • Services used under a free trial do not qualify for refunds.
  • • Any data must be exported before the trial ends; post-trial data loss is not refundable.
3. NON-REFUNDABLE ITEMS

The following purchases are non-refundable:

  • • Setup or onboarding fees
  • • Custom development or integration services
  • • One-time service charges
  • • Marketplace apps or third-party purchases
  • • Credits, points, or prepaid add-ons
  • • Promotional or discounted offers
  • • Fees paid for expired subscriptions
  • • Charges incurred due to violation of Terms of Service
4. REFUND ELIGIBILITY

Refunds will only be granted under the following conditions:

4.1 Technical Issues

Refunds may be issued if:

  • • A critical technical defect prevents use of the Service, and
  • • Bizionix support cannot resolve it within 15 business days,
  • • and the issue is directly caused by Bizionix systems (not customer infrastructure).
4.2 Duplicate or Unauthorized Payments

Refunds may be issued when:

  • • A customer is charged twice for the same service
  • • A billing error occurs
  • • Unauthorized transactions are reported within 7 days
4.3 Service Failure by Bizionix

Refunds may be granted in the rare case of:

  • • Complete service outage beyond 72 consecutive hours
  • • Bizionix terminating Services without cause
4.4 Withdrawal During Cooling-Off (If Applicable)

For certain plans, Bizionix may offer a 7-day cooling-off period for annual subscriptions—only applicable if mentioned in your contract.

5. REFUND PROCESS

To request a refund:

    • • Supporting documents (if applicable)
  2. Bizionix reviews refund requests within 10–15 business days.
  3. Approved refunds are processed to the original payment method within 7 business days after approval.
  4. Refund timelines may vary based on:
    • • Your bank or card issuer
    • • Payment gateway policies
6. CANCELLATION POLICY
6.1 Customer-Initiated Cancellations
  • • Cancellations take effect at the end of the current billing period.
  • • Access to paid features continues until expiration.
  • • No prorated refunds are issued for unused time.
6.2 Bizionix-Initiated Cancellations

Bizionix may cancel an account for reasons including:

  • • Violations of Terms of Service
  • • Illegal or abusive usage
  • • Non-payment beyond grace periods
  • • Security threats or misuse

In such cases:

  • • No refunds will be provided for any remaining subscription period.
7. RENEWALS & AUTO-PAYMENTS
  • • Subscriptions renew automatically unless cancelled before the renewal date.
  • • Renewal fees are non-refundable once charged.
  • • You may disable auto-renewal in your account settings.
8. CHARGEBACKS & DISPUTES

Before initiating a chargeback with your bank or payment provider, you must:

  • • Contact Bizionix support
  • • Allow our team to investigate the issue

Unresolved disputes may result in:

  • • Account suspension
  • • Termination of services
  • • Ineligibility for future refunds

Unjustified chargebacks may incur administrative fees.

9. SPECIAL CONDITIONS FOR ENTERPRISE CONTRACTS

Enterprise or custom agreements may include:

  • • Separate refund terms
  • • Custom SLAs
  • • Negotiated cancellation policies

These terms override the general policy where applicable.

10. THIRD-PARTY PURCHASES

If you purchased Bizionix Services via:

  • • Resellers
  • • App marketplaces
  • • Partner platforms

Refunds must be requested directly from the third party, subject to their policies.

Bizionix cannot process refunds for purchases not made via our direct channels.

11. SERVICE DOWNGRADES

When switching from a higher to a lower plan:

  • • No refunds are given for the difference
  • • Remaining paid period continues at the existing plan
  • • Downgrade takes effect at next renewal
12. POLICY UPDATES

  • • Ensuring no prohibited content is uploaded
  • • Managing sharing settings of public content

Bizionix may remove content found illegal under IT Rules or DPDP Act upon receiving valid complaints.

13. THIRD-PARTY LINKS

Bizionix may link to external sites. We are not responsible for:

  • • Content on external sites
  • • Their privacy practices
  • • How they manage your Personal Data

Review their policies before sharing data.

14. GRIEVANCE OFFICER
